line-height: 1.8;'><p><br></p><p><span style='color: rgb(0, 0, 0);'>A：</span></p><p><span style='color: rgb(0, 0, 0);'>因为个体工商户财产权、经营权的特殊属性，长期以来，我们对变更经营者有着较为严格的限制。<strong>相关法规规定，除了家庭成员之间变更经营者外，其他的经营者变更必须先注销原来的个体工商户，再申请设立新的个体工商户。</strong>在制定《条例》的过程中，有很多个体工商户反映，自己经营多年的店铺具有独特的字号和良好的商誉，也取得了相关的行政许可，比如销售食品是需要食品经营方面许可的。如果要想转让给他人，就得先注销再设立，这些无形资产就会灭失。重新办理各种手续会增加大量的成本。据了解，现实中很多个体工商户转让自己的店铺后也没有办理经营者变更手续，继任经营者是用原来的营业执照继续经营。这样既不利于保护双方的利益，也存在着法律的风险。因为没有经过登记机关的登记，等于是两个经营者之间的交易。</span></p><p><span style='color: rgb(0, 0, 0);'> </span></p><p><span style='color: rgb(0, 0, 0);'>《条例》充分考虑了个体工商户这一痛点，进行了制度的创新，<strong>调整了变更经营者的方式，由原来的“先注销、后设立”改为可以直接申请办理变更登记，这也是这次《条例》制定的一个亮点。</strong>也就是说，个体工商户可以像企业变更投资人、法定代表人一样变更经营者。这一规定便利了个体工商户经营权的转让，实现了个体工商户变更经营者在成立时间、字号、档案等方面的延续，既降低了制度性交易成本，也有利于个体工商户的持续经营，打造更多的“百年老店”。</span></p><p><span style='color: rgb(0, 0, 0);'> </span></p><p><span style='color: rgb(0, 0, 0);'>同时，为了保护他人的合法权益，特别是保护消费者的权益，<strong>《条例》也明确规定，个体工商户变更经营者应当结清依法应缴纳的税款等，对原有债权债务作出妥善处理</strong>。市场监管总局将研究出台具体的操作性规定，指导各级登记机关做好变更经营者的登记。直接办理变更登记不是强制性的，个体工商户可以根据自己的意愿选择是直接变更还是“先注销、再设立”。经营者变更涉及一系列法律关系的改变，继任经营者应当详细了解个体工商户当前经营状况和负债情况，审慎作出选择。</span></p></section></section></section></section><p powered-by="xiumi.us" style='color: rgb(160, 160, 160);
